Andrew Whittingham is a corporate lawyer with extensive experience advising on complex public and private M&A, equity capital markets and corporate restructuring transactions.  Andrew also regularly advises on commercial contracts, employee incentive plans, the application of ASX Listing Rules, foreign investment regulations and general corporate advisory matters.

Over his career, Andrew has acted on many significant transactions, including:

  • Universal Robina Corporation’s acquisition of Snack Brands Australia and strategic joint venture with Intersnack;
  • Vodafone’s merger with TPG Telecom;
  • the restructuring of Snack Brands Australia by way of members’ scheme of arrangement;
  • the sale of Basiq to Cuscal Limited;
  • advising private equity growth funds M33 and PSG on their acquisition of Total Synergy; and
  • Telstra Corporation Limited on the sale of its New Zealand subsidiary TelstraClear to Vodafone.

His clients have included major corporations, private capital firms, and high-growth enterprises, who value his ability to provide clear, commercially practical advice on both domestic and cross-border matters.

Andrew’s legal career includes senior roles at leading international and national firms, including K&L Gates, Norton Rose Fulbright, and Gilbert + Tobin. Andrew previously worked in the Corporate team at K&L Gates prior to joining Keypoint Law, where he advised on high-value, strategically significant corporate transactions across diverse industries.
